By accessing or using the Lumia platform ("Platform") at lumiaed.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all users of the Platform.

Lumia is a web-based software platform operated by Tucson Values Teachers ("Company," "we," "us," or "our"). The Platform provides [brief description of platform functionality].

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Keep your login credentials (username and password) confidential and secure
• Store your password in a safe place and protect it against unauthorized access by third parties
• Use appropriate security precautions to prevent unauthorized account access
• Change your password regularly for enhanced security
• Immediately notify us of any suspected unauthorized use of your account
• Not share your account credentials with any third party
• Not allow others to use your account

You agree not to:

• Violate our Code of Ethics in any way
• Use the Platform for any unlawful purpose or in violation of any applicable laws
• Upload, post, or transmit any content that is harmful, threatening, abusive, or otherwise objectionable
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Interfere with or disrupt the Platform's functionality
• Use the Platform in any manner that could damage, disable, overburden, or impair our servers
• Attempt to reverse engineer, decompile, or disassemble any part of the Platform

You warrant that all information you provide to us is accurate, current, and complete. You agree to promptly update your account information to keep it accurate and current.

IMPORTANT:

If you are using the Platform in connection with educational services or have access to student information, you expressly agree to:

• Comply with all applicable student privacy laws, including but not limited to the Family Educational Rights and Privacy Act (FERPA), the Children's Online Privacy Protection Act (COPPA), and any state student privacy laws
• Not collect, use, or disclose any personally identifiable information from students except as permitted by applicable law
• Implement appropriate safeguards to protect student data
• Immediately report any suspected data breaches involving student information

Violation of student privacy laws through use of the Platform is strictly prohibited and will result in immediate termination of your account.

You retain ownership of any content you create, upload, post, or transmit through the Platform ("User Content"). However, by submitting User Content, you grant Tucson Values Teachers a non-exclusive, worldwide, royalty-free, transferable license (with the right to sublicense) to use, copy, modify, distribute, publish, and display such User Content in connection with operating and providing the Platform.

You represent and warrant that your User Content:

• Does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights
• Does not contain any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable material
• Does not contain any viruses, malware, or other harmful code
• Complies with all applicable laws and regulations
• Does not violate any student privacy laws (FERPA, COPPA, etc.) if educational content is involved

You may not upload, post, or transmit content that:

• Infringes on intellectual property rights of others
• Contains personal information of minors without proper consent
• Promotes illegal activities or violence
• Contains spam, promotional material, or commercial content (unless expressly permitted)
• Impersonates any person or entity
• Contains false or misleading information

We reserve the right, but have no obligation, to:

• Monitor, review, and moderate User Content
• Remove any User Content that violates these Terms or is otherwise objectionable
• Suspend or terminate accounts of users who repeatedly violate content standards
• Preserve User Content as required by law or for legal proceedings

We respect intellectual property rights and will respond to valid DMCA takedown notices. If you believe your copyrighted work has been infringed, please contact us with the required DMCA information.

You acknowledge that User Content is provided by users and not by us. We do not endorse, guarantee, or assume responsibility for any User Content. You use User Content at your own risk.

You retain ownership of content you upload to the Platform but grant us a non-exclusive, worldwide, royalty-free license to use, modify, and display such content in connection with operating the Platform.

We reserve the right, in our sole discretion, to:

• Remove any user content for any reason at any time without notice
• Suspend or terminate any user account for any reason at any time without notice
• Modify or discontinue any aspect of the Platform

You agree to indemnify, defend, and hold harmless Tucson Values Teachers, its officers, directors, employees, agents, and representatives from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content you submit to the Platform
• Any breach of your representations and warranties contained herein

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUCSON VALUES TEACHERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

We may terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use constitutes acceptance of modified Terms.
